These Terms of Use ("Terms") govern your access to and use of any website, application, game, tool, extension, API, widget, digital product, or other service made available by ZingLab, including all free, paid, subscription, beta, and experimental offerings, whether operating under the ZingLab name or under a separate brand, domain, or product name (collectively, the "Services"). The Services include, without limitation, games and interactive experiences, productivity and browser tools, research and assessment tools, websites and web applications built for ZingLab or on behalf of clients, and any successor, updated, rebranded, or derivative version of the foregoing. By accessing or using any Service, you agree to be bound by these Terms and all applicable laws and regulations. If you disagree with any part of these Terms, you must stop using the Services immediately.
1. Scope and Changes to These Terms
These Terms are intended to apply broadly across ZingLab's full portfolio of current and future Services. A Service made available on a different domain, subdomain, app storefront, or under a different product or brand name is still covered by these Terms unless that Service is offered together with its own separate terms of use, in which case the separate terms govern that Service to the extent of any conflict and these Terms continue to apply to everything they do not cover.
ZingLab reserves the right to modify these Terms, or to add, change, suspend, or discontinue any Service (or any feature of a Service), at any time and without prior notice. Changes to these Terms are effective immediately upon posting. It is your responsibility to review these Terms periodically. Your continued use of any Service after a change is posted constitutes your acceptance of the revised Terms.
2. Eligibility and Accounts
You must be able to form a binding contract to use the Services, and must comply with any minimum age requirements of your jurisdiction. If you are using a Service on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.
Some Services may require you to create an account or provide information such as an email address. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use.
3. Paid Services, Subscriptions, and Licenses
Some Services, or features within a Service, are offered free of charge; others are offered on a paid, subscription, one-time-purchase, or licensed basis (including corporate, white-label, or enterprise licenses). Where a Service is paid or licensed, additional pricing, billing, renewal, cancellation, or license terms may be presented to you at the point of purchase or in a separate license agreement, and those terms are incorporated into and supplement these Terms. Fees are non-refundable except as required by law or as otherwise expressly stated at the time of purchase.
ZingLab may offer trials, freemium tiers, or promotional pricing at its discretion, and may modify pricing or discontinue a paid tier prospectively upon notice.
4. Acceptable Use
You agree not to use any Service for any unlawful or prohibited purpose, and to comply with all applicable laws, regulations, and third-party rights while using the Services. Without limiting the foregoing, you agree not to: reverse engineer, decompile, or attempt to extract source code from a Service except as permitted by an applicable open-source license; interfere with or disrupt the integrity or performance of a Service (including through cheating, exploits, bots, or automated scraping); circumvent access, security, or payment mechanisms; upload malicious code; harass other users in any multiplayer or social feature; or use a Service to build a directly competing product using ZingLab's underlying code or assets without authorization.
5. Intellectual Property
Except for open source components and user-generated content described below, all right, title, and interest in the Services — including software, games, game assets, designs, text, graphics, trademarks, and logos — are owned by ZingLab or its licensors. No rights are granted to you other than the limited, revocable, non-exclusive right to access and use the Services in accordance with these Terms. You may not use ZingLab's intellectual property without prior written consent, except as otherwise stated.
Some software and code released by ZingLab is made available under open source licenses. Where a component is offered under such a license, the terms of that license govern your use of that component and control over these Terms in the event of a conflict. Some tools are offered free for personal, non-commercial use only, with commercial use requiring a separate license — check the license accompanying the specific project.
If a Service allows you to submit, upload, or generate content (such as save data, profile information, messages, or user-created levels), you retain ownership of that content, but you grant ZingLab a worldwide, royalty-free license to host, store, display, and process it as needed to operate and improve the Service.
6. Third-Party Services and Links
The Services may link to, embed, or rely upon third-party websites, storefronts (such as Amazon, Barnes & Noble, or app marketplaces), payment processors, or services that ZingLab does not control. ZingLab is not responsible for the content, policies, or practices of any third party, and your use of third-party services is governed by that party's own terms.
7. Research, Assessment, and Informational Tools
Certain Services present research, cognitive, or health-related assessments, statistics, or informational content for general informational and research purposes only. They are not a substitute for professional medical, veterinary, financial, or legal advice, and are not intended to diagnose, treat, or provide a clinical determination of any condition. Always consult a qualified professional with questions regarding a medical, veterinary, or other professional matter.
8. Disclaimer of Warranties
The Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Services will be uninterrupted, secure, or error-free. Free Services in particular may be discontinued, altered, or withdrawn at any time without notice or liability.
9. Limitation of Liability
To the fullest extent permitted by law, ZingLab and its affiliates, officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, goodwill, or use, arising out of or related to your access to or use of (or inability to use) any Service, even if advised of the possibility of such damages. ZingLab's total liability for any claim arising out of these Terms or the Services will not exceed the greater of (a) the amount you paid to ZingLab for the Service giving rise to the claim in the twelve months preceding the claim, or (b) one hundred U.S. dollars ($100).
10. Indemnification
You agree to indemnify and hold harmless ZingLab, its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from your use of any Service, your violation of these Terms, or your violation of any applicable law or third-party right.
11. Termination
ZingLab may suspend or terminate your access to any Service at any time, with or without cause or notice, including for suspected violation of these Terms. You may stop using a Service at any time. Provisions of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.
12. Governing Law
These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict of laws principles, unless otherwise required by applicable mandatory law in your jurisdiction.
